AMP NZ Office Trust: Specified rights deed

"AMP NZ Office Trust (“ANZO”) announced today that, following the takeover offer made by Brookfield BidCo (Australia) Pty Ltd (“Brookfield”) for the Multiplex Group becoming unconditional, Multiplex Property Funds Management Limited (“Multiplex”) has given notice to AMP Capital Investors (New Zealand) Limited (“AMPCI”) of a "change of control" of Multiplex. Multiplex owns 50% of AMP Multiplex Management Limited ("AMML"), ANZO’s management company, and 14.8% of the units in ANZO. The notice of a change of control is required under the previously disclosed Amended and Restated Specified Rights Deed (“Deed”) entered into in 2004 by Multiplex and AMPCI, and means that AMPCI has the right (in accordance with the Deed) to require commencement of a process to value Multiplex's shares in AMML and, following that process, to acquire those shares and/or Multiplex's units in ANZO. However, ANZO has no information as to whether or not AMPCI intends to exercise its rights under the Deed in relation to the change of control of Multiplex. The board of directors of AMML, which includes independent directors Craig Stobo (Chairman) and Graeme Horsley, awaits further notices and information from AMPCI and Multiplex and if appropriate will provide advice to the New Zealand Exchange at the earliest opportunity.
